1. Acceptance
These Terms of Service ("Terms") govern your access to and use of the website, products, and services (collectively, the "Platform") provided by Master Art Index Inc. ("we", "us", "our"). By accessing the Platform or submitting an access request, you agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
2. Eligibility & access
The Platform is currently in private beta and is offered by invitation only. Access is reserved for collectors, institutions (banks, insurers, lenders), auction houses, art advisors, investors, and other qualified professionals. We reserve the right to accept, refuse, or revoke access at our sole discretion.
You must be at least 18 years old and legally capable of entering into a binding contract.
3. The service
The Platform provides AI-generated valuation intelligence, market analytics, and benchmarking tools for the art asset class. Outputs are based on proprietary models trained on a curated dataset of artwork records, transactions, and market signals.
We continuously improve our models. Features, user interfaces, and accuracy metrics may evolve over time. We will use reasonable efforts to communicate material changes in advance.
4. Not financial, legal, or appraisal advice
The Platform produces informational outputs intended to support, not replace, professional judgment. Master Art Index is not a registered investment advisor, broker-dealer, certified appraiser, or insurance underwriter.
- Outputs are not investment advice or recommendations to buy, sell, or hold any artwork.
- Outputs are not formal appraisals for tax, insurance, estate, or legal purposes unless explicitly delivered under a separate written agreement signed by an authorized appraiser.
- Past performance is not indicative of future results.
You are solely responsible for any decisions you make based on the Platform's outputs.
5. Acceptable use
You agree not to:
- Reverse-engineer, decompile, or attempt to extract the source code or model weights of the Platform.
- Scrape, crawl, or use automated means to access the Platform without our written consent.
- Resell, sublicense, or redistribute the Platform's outputs without authorization.
- Use the Platform to facilitate money laundering, fraud, sanctions evasion, or any unlawful activity.
- Submit false, misleading, or infringing content.
- Interfere with, disrupt, or compromise the security or integrity of the Platform.
6. Intellectual property
The Platform, including its software, models, datasets, design, branding, and content, is owned by Master Art Index Inc. and is protected by Canadian and international intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for your internal professional purposes during the term of these Terms.
All rights not expressly granted are reserved.
7. Confidentiality
Information you receive from the Platform that is not publicly available, including methodology details, accuracy metrics, and roadmap information, is considered our confidential information. You agree to use it only for the purpose for which it was disclosed and to protect it with the same degree of care you apply to your own confidential information.
8. Beta disclaimer
The Platform is currently in beta. It may contain bugs, errors, or inaccuracies, and may be modified or discontinued at any time. The Platform is provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
9. Limitation of liability
To the maximum extent permitted by applicable law, in no event will Master Art Index Inc., its directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or any other intangible losses, arising out of or in connection with your use of the Platform.
Our total aggregate liability for any claim arising out of or relating to these Terms or the Platform shall not exceed one hundred Canadian dollars (CAD $100) or, if greater, the amounts paid by you to us in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits our liability for fraud, gross negligence, or any other liability that cannot be excluded under applicable law.
10. Indemnification
You agree to indemnify and hold harmless Master Art Index Inc. and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your violation of any law, or your infringement of any third-party right.
11. Termination
We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. You may stop using the Platform at any time. Sections that by their nature should survive termination (including intellectual property, confidentiality, disclaimers, limitations of liability, and indemnification) will survive.
12. Privacy
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information in compliance with PIPEDA and Quebec Law 25.
13. Governing law & dispute resolution
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts of the Province of Quebec, district of Montreal, for the resolution of any dispute arising out of or relating to these Terms.
14. Changes to the Terms
We may revise these Terms from time to time. The "Effective date" at the top of this page indicates the latest revision. Material changes will be communicated by email or through the Platform at least 30 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
15. Miscellaneous
- Entire agreement: these Terms, together with the Privacy Policy and any additional written agreement, constitute the entire agreement between you and us.
- Severability: if any provision is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Assignment: you may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Language: the parties have requested that these Terms be drafted in English. Les parties ont exigé que la présente convention soit rédigée en anglais.
